1. Services / Scope of Work
Company will perform a Growth Alignment Review for Client. The Growth Alignment Review is a strategic, high-level assessment of selected aspects of Client’s business, brand, marketing, offers, operations, digital presence, messaging, structure, and related growth activities, based on the information, materials, access, and responses provided by Client, together with Company’s independent observations and professional judgment.
The Growth Alignment Review may include, without limitation, review and evaluation of Client’s website, visible brand presentation, messaging, positioning, offers, marketing presence, business materials, intake responses, publicly accessible content, and other information or assets Company determines are relevant to the Review.
Company will use its discretion to identify observed strengths, gaps, inconsistencies, risks, missed opportunities, and areas of potential misalignment, and to provide strategic findings, recommendations, and suggested next steps in the format Company deems appropriate.
Unless expressly stated otherwise in writing, the Growth Alignment Review is advisory and strategic in nature only and does not include implementation, execution, design, development, copywriting, campaign management, system setup, legal advice, tax advice, accounting advice, or ongoing consulting services.
2. Deliverables
As part of the Growth Alignment Review, Company may provide one or more of the following, in Company’s discretion:
• a summary of findings;
• observations regarding what appears clear, unclear, missing, broken, inconsistent, or misaligned;
• strategic recommendations or suggested next steps;
• a verbal walkthrough, review meeting, written summary, recorded presentation, report, or similar delivery format; and
• where applicable, recommendations regarding additional services or support.
Deliverables may include a live review meeting during which Company presents findings, recommendations, and potential next-step service options.
Company shall determine the content, format, structure, scope, and presentation of all deliverables in its sole discretion.
3. Timing and Delivery
Company does not guarantee any delivery date, completion date, turnaround time, deadline, or review meeting date.
Company generally aims to complete the Growth Alignment Review within approximately seven (7) business days after Client has submitted the required intake information and any reasonably requested materials, but this timeframe is an estimate only and is not guaranteed.
Client acknowledges and agrees that delivery of the results of the Growth Alignment Review is conditioned upon Client scheduling and attending a review meeting with Company. During that meeting, Company will present its findings, strategic recommendations, and, where applicable, recommended next steps and service options. Company will not be required to release, send, or otherwise provide the Review findings, recommendations, or results to Client before such meeting takes place.
If Client delays scheduling, fails to attend, reschedules repeatedly, fails to respond, or otherwise does not participate in the review meeting process, Company may delay or withhold delivery unless and until the meeting occurs.
4. Client Responsibilities
Client is responsible for providing accurate, complete, and timely information, materials, responses, and access reasonably requested by Company.
Client acknowledges that Company may rely on information supplied by Client without independent verification and that incomplete, inaccurate, outdated, or delayed information may affect the quality, usefulness, accuracy, scope, or timing of the Growth Alignment Review.
5. Fees
The Growth Alignment Review is provided at no cost to Client unless otherwise stated in writing by Company.
No fee is charged for the Review itself. Any services requested by Client beyond the Growth Alignment Review, including implementation, follow-up consulting, execution, or expanded support, are outside the scope of this Schedule and may require a separate agreement and additional fees.
6. Cancellation
Client may cancel the Growth Alignment Review at any time by providing notice to Company by email.
If Client cancels, Company may retain the intake materials, research, notes, findings, related review data, and administrative records connected to the Growth Alignment Review for up to six (6) months following cancellation, and will continue to treat Client’s non-public information in accordance with the confidentiality provisions of this Schedule.
Cancellation does not obligate Company to provide any partial work product, findings, recommendations, deliverables, or review results.
7. Personnel and Resources
Company may assign such personnel, contractors, tools, software, systems, methods, and internal resources as Company deems appropriate to perform the Growth Alignment Review.
Company does not guarantee the involvement of any specific individual unless expressly stated in writing.
8. No Service Levels
The Growth Alignment Review is not an ongoing support service, managed service, or service-level engagement.
Company does not guarantee any response time, support availability, meeting availability, turnaround time, uptime, or other service-level commitment unless expressly stated otherwise in writing.
9. Out-of-Scope Services
Unless expressly stated otherwise in writing, the Growth Alignment Review does not include:
implementation of recommendations;
• website edits, design, or development;
• copywriting or content creation;
• advertising setup or management;
• CRM, automation, or software configuration;
• operational setup or internal team implementation;
• ongoing advisory services;
• legal, financial, tax, or regulatory advice; or
• additional meetings, revisions, or expanded analysis beyond the initial Review.
10. No Guarantee of Results
Client understands and agrees that the Growth Alignment Review is based on the information available at the time of review and on Company’s professional judgment. Company does not guarantee any specific outcome, performance result, business result, revenue increase, lead increase, marketing result, or growth outcome arising from the Review or any recommendations provided.
11. Nature of Engagement
The Growth Alignment Review is intended to help Client identify potential areas of focus and possible next steps. It is not a guarantee of completeness, a comprehensive audit of every aspect of Client’s business, or a commitment by Company to perform future work.
Nothing in this Schedule obligates either party to enter into any further service relationship after the Growth Alignment Review.
12. Confidentiality
Company will use reasonable care to keep Client’s non-public information, materials, and business details submitted in connection with the Growth Alignment Review confidential and will not disclose such information to unrelated third parties except:
• as necessary to Company’s employees, contractors, advisors, or service providers who have a legitimate need to know and are bound by confidentiality obligations;
• as required by law, regulation, court order, or legal process; or
• as necessary to enforce Company’s rights under these Terms or any related agreement.
Confidential information does not include information that:
• is or becomes publicly available through no wrongful act of Company;
• was already lawfully known to Company without restriction before disclosure by Client;
• is lawfully received by Company from a third party without a duty of confidentiality; or
• is independently developed by Company without use of Client’s confidential information.
Company may use Client’s information, materials, and submissions internally for purposes of performing the Growth Alignment Review, maintaining business records, improving internal processes, and evaluating whether additional services may be appropriate for Client, subject to the confidentiality obligations in this Section.
13. Privacy and Handling of Client Information
In connection with the Growth Alignment Review, Company may collect, receive, store, review, and use information, materials, submissions, and business details provided by Client for purposes of administering the
Review, communicating with Client, evaluating Client’s business and related materials, preparing findings and recommendations, maintaining business records, improving internal processes, and determining whether additional services may be appropriate.
As part of its internal review process, Company may use privacy-configured artificial intelligence, language model, automation, research, analysis, or software tools to assist in organizing, evaluating, summarizing, or analyzing information relevant to the Growth Alignment Review. Company will use reasonable care in selecting and configuring such tools, including enabling available privacy settings designed to limit data sharing, retention, or model-training use where such settings are offered by the applicable provider.
Company will not sell Client’s non-public information submitted in connection with the Growth Alignment Review. Company will use reasonable care to protect such information and will not disclose it to unrelated third parties except: (a) to Company’s employees, contractors, advisors, and service providers who have a legitimate need to know and who are subject to confidentiality obligations; (b) as required by law or legal process; or (c) as reasonably necessary to protect Company’s rights, operations, or security.
Client acknowledges that Company may review publicly accessible information about Client and Client’s business as part of the Growth Alignment Review. Company may retain intake materials, research, notes, findings, communications, and related administrative records for up to six (6) months following cancellation or completion of the Review, and may thereafter delete or destroy such materials in Company’s discretion, except where longer retention is reasonably necessary for legal, compliance, security, backup, dispute-resolution, or recordkeeping purposes.
